It is hereby agreed between the Buyer and the Seller, whereby The Buyer agrees to buy and the Seller agrees to sell the goods with the following terms and conditions

* Documents requirements:相关文件 1. Full set (3/3) of original Shipped on board Bill of Lading made out “to order” and blank endorsed，marked “Freight prepaid” and “Clean on Board” indicating contract number.

全套（3/3）的装船提单实体正本，注明“运费已付,to order 和空白背书”和“清洁装船” 2. Commercial Invoice in triplicate. 商贸发票一式三份。

3. Detailed Packing List in triplicate showing total net weight and gross weight. 装箱清单一式三份，标明总净重量和总毛重量。

4. Certificate of Quality and Quantity issued by Intertek Vietnam. Intertek Vietnam出具的质量及数量的证明文件。

5. Certificate of Containers in triplicate issued by Intertek Vietnam. And/or port authorities certifying that the containers are clean, dry, odorless, compact and suitable to receive and carry the rice.

Intertek Vietnam出具的集装箱清洁证明文件，证实集装箱清洁，干燥，无味结实并适于装载和运输大米。

6. Certificate of Origin in one original and three copies issued by Chamber of Commerce and industry of Vietnam.

越南商会签发的原产地证书一式三份

7. Certificate of Fumigation issued by Intertek Vietnam in triplicate. Intertek Vietnam签发的熏蒸证书一式三份

8. Phytosanitary Certificate in triplicate issued by Plant Protection Department of Ministry agriculture and Rural Development certifying that the rice is free from live insect pests After fumigation, and that the consignment is found to conform to the current phytosanitary regulations of the importing country

越南官方或官方指定或授权组织签发的植物检验检疫证书一式三份，证实该大米未携带杀伤性病菌和活虫害，并且本合同项下货物必须符合进口国当前卫生要求。 9. Certificate of Crop year in triplicate issued by Intertek Vietnam .

10. Certificate of Pesticide Residues in triplicate issued by Intertek Vietnam. Certifying that the chemical residues at loading port shall be in conformity with the limitation. The chemical residues of the rice supplied by the sellers shall not exceed the regulations by the Ministry of Public Health of the People’s Republic of China.

Intertek Vietnam签发的农药残留证书一式三份，证实在装运港时化学残留物不超过中华人民共和国卫生部的有关规定。

11. Certificate of Packing in triplicate issued by Intertek Vietnam. Certifying that the P.P bags used are clean, odorless, and not in any way render the grain harmful for human edible purpose.

Intertek Vietnam签发的包装证书一式三份，证实包装所用编织袋清洁、无味，绝不会导致该大米对人类食用造成危害。

12. Non-GMO certification in triplicate issued by Intertek Vietnam. Intertek的非基因改造证书。

13. Health certification in triplicate issued by Intertek Vietnam Intertek的健康证书

14. Tally certification in triplicate issued by Intertek Vietnam Intertek 的点数证书

15. Certificate of Heavy Metal issued by Intertek Vietnam Intertek的重金属含量证书

16. Insurance certificate blank endorsed 保险凭证空白背书

17. Intertek Vietnam certificate stating that wooden material is not used in the packaging. Intertek的非木质包装证书

18. SURVEY: The supervision and survey of the rice at mills, stores and on board ocean vessel on the quality, weight and condition of polypropylene woven bag are to be done by Intertek Vietnam. 检验：大米加工、存储及装船时的质量、重量和编织袋状况的监督和检验，由Intertek Vietnam 实施

1.）If rice intended to be loaded is found by the Surveyors infested, water damaged, ill odoured and

heated, it shall not be shipped and consequences hereof, including all lossed due to demurrage or dend freight, shall be for the seller?s account.

如检验人员发现拟运装的大米遭污染、淡水损害、异味和受热，该大米不能装船，继而产生的费用，包括滞期费和空仓费，由卖方承担。

2.）The Sellers shall replace all bags damaged during loading with polypropylene woven bag. 卖方应将装运时受损的所有包装袋用编织袋替换

3.）The sellers shall nominate representatives to supervise lighters and/or cargo boats until goods in

have been fully loaded into ocean vessel.

卖方需指定代表监督驳船及/或货船，直至全部装上轮船。

19. CLAIM: After the arrival of the cargo at destination, the Buyers have the right to re-inspect the

cargo. If any deviation from loading specifications of quality and/or weight of the cargo occurs at discharge, the Buyers shall have the right to claim against the sellers for compensation of replacement within 45 days after the completion of discharge against the inspection certificates issued by the import & Export Commodity inspection bureau at destination.

索赔：货物到岸后，买方有权重检货物，如在卸货时发现与装载时货物在质量和/或数量

有上有差异， 买方有权要卖方赔偿， 在实物赔偿情况下，赔偿物应在卸货完成后的45天内到达，并附有进出口检验检疫局出具的证书。

FORCE MAJEURE不可抗拒事件

The Force Majeure (Exemption) clause of The International Chamber of Commerce (ICC Publication No. 421) is hereby incorporated in this contract.

本合同中的不可抗力事件（豁免）适用国际商会的条款（ICC出版物421）。

ARBITRATION仲裁

Any dispute arising out of or in connection with this contract, shall be referred to and finally resolved for Arbitration as per GAFTA Arbitration Rules No.125. All fees and expenses occurred from this arbitration shall be borne by the losing party. The arbitration shall take place in Hong Kong.

本合同产生的任何争议，适用仲裁最终解决GAFTA仲裁规则125。该仲裁发生的所有费用和支出，应当由败诉方承担。仲裁开庭地点在香港。

GENERAL TERMS其他条款

Both parties undertake to execute strictly all of the articles of this contract. Any amendment or addition to this contract shall be in writing and signed by both parties.

The buyer will be allowed to re-export to clients of other national only upon prior consent of the Seller. The contract signed via fax/email has same validity as the original ones.

双方承诺将严格执行本合同之所有条款。任何修订或增补本合同应以书面形式，并经双方签字。 若买方再出口给其他国家的客户，必须事先经由卖方同意。 通过传真/电子邮件签订的合同与实体正本具有同等法律效力。
