第十四条 集团公司的主要职责：

（一） 作为国家特大型航运企业，在生产经营中应严格执行国家法律、法规和产业政策，贯彻执行国家有关运输生产、安全监督和航运管理方面的法律、法规、规章的规定，参照国际航运惯例，在国家宏观调控下依法开展生产经营活动。加强企业管理，提高服务质量，增强市场竞争力，积极完成国家下达的各项任务。

（二） 努力提高经济效益，对其经营管理的企业国有资产承担保值增值责任。按照有关规定定期向国资委报告财务状况、生产经营状况和国有资产保值增值状况。

（三） 根据市场需求和国家发展规划、产业政策，组织拟订和实施重大投融资规划、发展战略和规划，组织制定和实施年度经营计划及其他重要生产经营决策，对投入产出效果负责。

（四） 根据世界及我国航运发展和变化的情况，及时更新和审核集团的运力和船舶结构的调整方案，建立和完善增添新船、老旧船报废的规章制度或方案，推进结构调整，加快技术创新和科技进步。

（五） 深化企业改革，转换经营机制，妥善做好减员增效和富余人员分流与再就业工作，维护企业和社会稳定。

（六） 加强内部监督和风险控制，依照国家有关规定建立、健全财务、审计、企业法律顾问和职工民主监督制度。

（七） 指导和加强所属企业思想政治工作和精神文明建设，搞好集团内部企业文化建设。

（八） 加强无形资产的管理，统一管理集团公司的名称、商标、商誉等无形资产。

（九） 承担国务院、国资委及有关部门委托的其他工作。 第十五条 集团公司的主要权限：

（一） 集团公司及其有关企业是自主经营、独立核算、自负盈亏的法人实体，享有国家法律法规规定的企业经营自主权。

（二） 集团公司对有关企业的国有资产可依法决定重组、转让、租赁与购并，并依法决定有关企业的存续、合并、分立或解散。重要子企业的重大事项，需要集团公司报国资委批准的，管理办法由国资委另行规定，在管理办法正式公布前，集团公司的重要子企业的重大事项需报国资委批准。

（三） 自主决定集团公司内部管理体制和机构设置。按照管理权限和程序，任免和管理集团公司有关领导及全资企业的领导成员和集团公司总部各部门负责人。按照法定程序和出资比例，向控股企业和参股企业委派或更换股东代表，推荐董事会成员、监事会成员。

（四） 根据国家有关规定，统一管理集团公司及有关企业的涉外工作，经批准，统一行使中国海运（集团）总公司已经国家批准享有的外事权、对外经济合作业务经营权，并按照国家规定办理有关手续。集团公司领导人员出国审批权限按国家有关规定执行。

（五） 国务院、国资委及有关部门授予的其他权限。 Article 14 Main responsibilities of Group Company are:

(3) To organize drafting and implementation of important investment and financing plan, development strategy and plan based on market needs and development plan and industry policy of the State, organize establishment and implementation of annual operation plan and other important production and operation decisions, and assume responsibility for the input-output effect.

(4) To update and review shipping capacity of Group Company and adjustment scheme of ship structure in time based on development and change of shipping in the world and China, establish and complete regulations or scheme for increase of new ship and discard of old ship, push structure adjustment, and accelerate technology innovation and science advance.

(5) To deepen enterprise reform, operation mechanism,

appropriately increase efficiency by downsizing staff and distract surplus staff from centralized industry and help them to find new jobs, and maintain stability of enterprise and the society.

(6) To enhance internal supervision and risk control, and establish and complete finance, audit, enterprise counselor and staff democracy supervision systems according to relevant provisions of the State.

(7) To instruct and enhance ideology and politics work and spiritual civilization construction of the enterprises affiliated and construct internal enterprise culture of Group Company properly.

(8) To enhance management of invisible assets and uniformly manage name, trade mark and reputation of Group Company and other invisible assets.

(9) To assume other tasks entrusted by the State Council, SASAC and relevant departments.

Article 15 Main authorities of Group Company:

(1) Group Company and its associated enterprises are corporate entities which operate business independently, have independent accounting, assume sole responsibility for their profits or losses and enjoy autonomy in management of enterprises prescribed by laws and regulations of the State.

(2) Group Company may decide restructuring, transfer, lease and acquisition of state-owned assets of associated enterprises and decide existence, merger, split-up or dissolution of associated enterprises according to laws. Where Group Company is required to report important matters of important subsidiaries to SASAC for approval, measures for administration shall be specified by SASAC separately. Before official promulgation of measures for administration, important matters of important subsidiaries of Group Company shall be reported to SASAC for approval.

(3) To decide internal management system and agency setup of Group Company independently. To appoint, dismiss and manage relevant leaders of Group Company, leader members of wholly owned enterprises and the responsible persons of all departments of Group Company. To dispatch or replace shareholder representatives of controlled enterprise or enterprise in which Group Company has equity participation pursuant to legal procedure and the percentage of capital contribution, and

recommend members of the board of directors and members of the board of supervisors.

(4) To uniformly manage foreign work of Group Company and associated enterprises in accordance with relevant provisions of the State, upon approval, uniformly exercise foreign affairs right, operation right of foreign economic cooperation business of China Shipping (Group) Company approved by the State, and go through relevant formalities according to the provisions of the State. The approval authority for overseas business trip of the leaders of Group Company shall be executed according to relevant provisions of the State.

(5) Other authorities granted by the State Council, SASAC and relevant departments.
