民办非企业单位(合伙)章程

第一章 总则

第一条 本单位的名称

_________________________________________________________。 （民办非企业单位的名称应当符合法律、法规及民发（1999）129号《民办非企业单位名称管理暂行规定》的规定，不得违背社会道德风尚。民办非企业单位的名称应当与其业务范围、活动地域相一致，准确反映其特征。地方性的民办非企业单位应冠以本行政区域名称。民办非企业单位的名称，不得使用已由民办非企业单位登记管理机关明令撤销或取缔的民办非企业单位的名称。）

第二条 本单位的性质

第三章 事务执行

第七条 各合伙人对执行本单位的事务享有同等的权利，本单位的下列事务必须经全体合伙人同意： （一）处置本单位的财产； （二）制订和修改本单位章程； （三）改变本单位的名称； （四）入伙和退伙；

（五）向登记管理机关申请办理变更、注销登记手续； （六）聘任合伙人以外的担任本单位的管理人员、工作人员； （七）

第八条 经全体合伙人决定，委托1名（或者数名）合伙人作为合伙负责人执行本单位事务，对外代表本单位。

合伙负责人违反章程规定或者全体合伙人的决定执行本单位事务的，其他合伙人可以决定撤销该委托。

第九条 合伙负责人行使下列职权：

（一）召集和主持全体合伙人会议； （二）代表本单位签署有关重要文件；

（三）开展本单位日常工作，组织实施年度工作计划； （四）决定本单位管理人员、工作人员的聘用和辞退； （五）_________________________________________。

第十条 本单位事务由合伙负责人执行的，其他合伙人不再执行，但有监督合伙负责人，检查其执行事务的情况。

第十一条 合伙负责人应当依照约定向其他合伙人报告事务执行情况、本单位的业务活动开展情况和财务状况，其执行本单位事务所产生的亏损和民事责任，由全体合伙人承担。

第十二条 合伙人为了解本单位的业务活动开展情况和财务状况，有权向合伙负责人要求查阅相关材料。全体合伙人就本单位有关事项作出决定，实行一人一票的表决方法。

第四章 入伙、退伙

第十三条 新合伙人入伙时，须经全体合伙人同意并签署同意本单位章程的意见。

第十四条 入伙的新合伙人与原合伙人享有同等权利，承担同等责任。

第十五条 合伙人在不给本单位事务造成不利影响的情况下，可以退伙，但必须提前30日通知其他合伙人。

第十六条 合伙人有下列情形之一的，经其他合伙人一致同意，可以决议将其除名 （一）末履行出资义务；

（二）因故意或者重大过失给本单位造成重大损失； （三）执行本单位事务时有不正当行为； （四）全体合伙人约定的其他事由。

第十七条 退伙人对其退伙前已发生的本单位债务，与其他合伙入承担连带责任。

第五章 资产管理、使用原则

第十八条 本单位经费来源 （一）合伙人的出资； （二）政府资助；

（三）在核准的业务范围内开展活动或服务的收入；

（四）利息； （五）其他合法收入。

第十九条 本单位经费必须用于本单位章程规定的业务范围和事业的发展，盈余按照国家有关规定进行处理。

第二十条 本单位建立严格的财务管理制度，保证会计资料，合法、真实、准确、完整。

第二十一条 本单位的资产管理必须执行国家规定的财务管理制度。

第六章 章程的修改程序

第二十二条 对本单位章程的修改，须经全体合伙人决议通过。

第二十三条 本单位修改的章程，须在全体合伙人决议通过后15日内，经业务主管单位审查同意，并报民办非企业单位登记管理机关核准后生效。

第七章 终止程序及终止后资产处理

第二十四条 本单位完成宗旨任务或自行解散或由于分立、合并等原因需要注销的，由全体合伙人决议通过，并报业务主管审查同意。

第二十五条 本单位有下列情形之一的，予以解散和清算 （一）全体合伙人决定解散；

（二）章程规定的宗旨任务已经完成或者无法完成； （三）单位违反法律、行政法规被依法责令关闭； （四）全体合伙人约定的其他事由。

第二十六条 本单位终止前，须在业务主管单位及有关机关指导下成立清算组织，清理债权债务，处理善后事宜。清算期间，不开展清算以外的活动。

合伙人的债务，由合伙人按照出资比例或者全体合伙人的约定，以各自的财产承担连带责任。

第二十七条 本单位经民办非企业单位登记管理机关办理注销登记手续后即为终止。

第二十八条 本单位终止后的剩余财产，在业务主管单位和民办非企业单位登记管理机关的监督下，按照国家有关规定进行处理。
