Zhuhai Evergrande Beverage Co., Ltd, incorporated and registered in China, with its registered office at Room 5005, Floor 5, No.3 Bao Zhong Road, Heng Qin New Area, Zhu Hai City, Guang Dong Province, China (hereinafter referred to as \EVG\珠海****饮品有限公司，一家成立并注册于中国的公司，注册办公地址为 中国广东省珠海市横琴新区宝中路3号5楼5005室（以下简称 \）;

and和[Guangzhou XiaDing Trading Co., Ltd. ], a company incorporated and registered in [ china ] with its registered office address at [ No.503 Tiancheng Plaza, No.354 Longkou East Road, Tian He District, Guangzhou City, Guangdong Province, China ] (hereinafter referred to as \Distributor\[公司全名: 广州夏鼎商贸有限公司]，一家成立并注册于[中国] 公司，注册办公地址为[ 广州市天河区龙口东路354号503房 ] （以下简称”分销商”）。

EVG and the Distributor shall be hereinafter referred to collectively as the \Parties\separately each a \Party\****和分销商在下文中统称为“协议各方”或单独称为 “协议方”。 WHEREAS:鉴于：

For the purpose of optimizing customer satisfaction, the sales of the Products (as defined below), development of the mineral water market in the Territory and promotion of the EVG brands, EVG wishes to select certain distributors possessing the facilities and skills necessary to ensure that the proper marketing and services required by the nature of such products are provided to customers.

为尽可能提升客户满意度，在约定地域（见下文定义）内销售产品（见下文定义）、开发矿泉水产品市场以及推广****品牌，****期望选择拥有必要设施和技能的特定分销商，以向顾客提供适合该类产品特性的营销和服务。

B.

EVG wishes to appoint the Distributor as its exclusive authorized Distributor for the promotion, sale and distribution of the Products within the Territory, and the Distributor wishes to promote, sell and distribute the Products within the Territory on the terms of this Agreement. ****期望指定分销商作为其独家授权分销商，授权其在约定地域内推广、销售和分销产品，分销商期望在约定地域内以本协议约定条件推广、销售和分销产品。

NOW THEREFORE in consideration of the mutual covenants and conditions contained herein, the sufficiency of which is acknowledged by the Parties, it is hereby mutually agreed as follows: 考虑到本协议所含双方的约定和条件，且双方认可该约定和条件的充分性，协议双方一致同意如下：

DEFINITIONS AND INTERPRETATION 定义和解释

The definitions and rules of interpretation in this clause apply in this agreement and the Background: 本条款的定义和解释规则适用于本协议和背景：

\Affiliates\business entities controlled by, under the common control with or controlling either Party, with control being interpreted broadly;

“关联方”意指受控于任何一方、或置于双方共同控制之下、或控制任何一方的任何和所有之公司、自然人、合伙组织或其他商业实体，控制一词应做广义解释。

Business Day: a day (other than a Saturday, Sunday or public holiday in [ Singapore ]) when banks in [ Singapore ] are open for business.

Commencement Date: From 1st, August 2014 to 31st , December 2016 起始日： 2014.8.1---2016.12.31

Control: the ability to direct the affairs of another person, whether by virtue of the ownership of shares, contract or otherwise.

Intellectual Property: means any and all, whether registered or unregistered,

trademarks (including but not limited to the Trademarks), patents, copyrights, designs, inventions, enhancements, updates, adaptations, know-how, technical data,

confidential information, trade secrets (including business plans, marketing strategies, supplier lists, customers lists, manufacturing costs and distribution prices),

specifications and other forms of industrial or intellectual property belonging or licensed to EVG or its Affiliates;

Products: the products of the type and specification manufactured and packed under the Trade Marks and listed in Schedule 1 and any other products developed by EVG and which EVG may permit the Distributor, by express notice in writing, to distribute in the Territory.

产品：意指清单一所列并使用特定商标生产和包装的特定型号和规格的产品以及任何其他****将可能开发并明确书面许可分销商在约定地域内使用的其他产品。

Term: the term of this agreement, as determined in accordance with clause 13. 协议有效期：本协议有效期依据协议第13条确定。

Trade Marks: any and all trademarks, whether registered or unregistered, relating to the Products.

Year: the period of 12 months from the Commencement Date and each consecutive period of 12 months thereafter during the Term.

Clause, schedule and paragraph headings shall not affect the interpretation of this agreement. 条款, 清单和段落标题不影响对本协议的解释。 A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) [and that person's personal representatives,

Unless the context otherwise requires, a reference to one gender shall include a

A reference to any Party shall include that Party's personal representatives, successors or permitted assigns. 所指任一方包括该方的个人代表、继承者或许可受让者。 A reference to a statute or statutory provision is a reference to it as amended,

extended or re-enacted from time to time. 所指法规或法规规定包括对其不时所做的修改、引申或重新制定。

A reference to writing or written includes fax and e-mail. 所指书面包括传真和电子邮件。

Any obligation on a Party not to do something includes an obligation not to allow that thing to be done. 一方对某一事项的禁止性义务包括该方有义务确保该事项不致发生。

In this agreement, unless the context otherwise requires, references to (or to any specific provision of) this agreement shall be construed as references to this

agreement or that provision as modified, amended or supplemented from time to time with the written agreement of the Parties and in force as any relevant time. 协议中，除非行文另有要求，所提及的本协议（或协议中任何特定规定）应被解释为随时经双方书面同意后并适时生效的修改、修正或补充后的协议文本或其所含规定。

APPOINTMENT任命

EVG appoints the Distributor as its exclusive distributor to distribute the Products in the Territory on the terms of this agreement.****任命分销商作为其独家分销商在特定区域内按照本协议规定的条件分销产品。

The Distributor shall purchase in its own name the Products only from EVG during the Term. 合同有效期内，分销商必须仅从****以自己名义购买产品。 The Distributor shall not: 分销商不得：

represent itself as an agent of EVG or its Affiliates for any purpose; or

The Distributor shall not without EVG's prior written consent make any promises or guarantees about the Products beyond those contained in the promotional materials supplied by EVG. 分销商不得在****所提供促销材料的内容范围之外， 未经****事先书面同意，针对产品做出任何承诺或保证。 DISTRIBUTOR'S UNDERTAKINGS 分销商保证事项

Minimum Business Volume：The Distributor promises to purchase “EVG” brand products from EVG within the sales agency period. At the beginning of each year, based on the previous years’ sales situation, local market situation and the

distributor’s strength, EVG will adjust the distributor’s yearly minimum business volume and marketing strategy. Both parties negotiate to assign the supplementary agreement at the beginning of each year (annexed to this agreement as Schedule 4). The Distributor undertakes and agrees with EVG that at all times during the Term it will: 最低销售目标： 分销商承诺在协议有效期内从****购买产品。每年年初，****将根据分销商前一年的销售状况、市场状况、公司实力为分销商调整年度最低销售目标和市场策略。同时，双方协商就此签订产品经销协议之补充协议（本协议附件4）。并且，分销商向****保证并同意在协议有效期内任何时间：

use its best efforts to maximize sales of the Products in the Territory and promote the mutual business interests of EVG and the Distributor; 在指定区域内尽最大 努力争取产品的最大销量；

employ a sufficient number of suitably qualified personnel to ensure the proper fulfilment of the Distributor's obligations under this

agreement;雇佣足够的适当合格人员以确保完成本协议项下分销商承担的义务；

not sell any Product which is soiled or damaged or which exhibits manufacturing defects, dispose of such Products referred to in this paragraph (c) as mutually agreed by the Parties, and notify EVG as soon as reasonably practicable; 不销售被污染或损坏或存在生产瑕疵的产品，经双方同意后处理此类产品，并在可行的情况下尽快通知****；

provide all necessary assistance in the case of product recall by EVG for any reason; 无论****因何种原因召回产品时，提供所有必要的协助；

maintain the Products in a good and sellable condition in warehouse facilities that are in compliance with relevant regulations in the Territory and safeguard the Products against risk of spoilage and contamination; 在仓库中妥善保管产品以确保其处于良好和可售的状态，该仓库应符合所在区域相关法规并能防止产品免于腐败和污染；

maintain on its own account an inventory of the Products at levels which are appropriate and adequate for the Distributor to meet all customer delivery requirements for the Products throughout the Territory; 维持合适和足够存量的产品库存以满足所有客户 对产品的交货要求；

keep all stocks of the Products which it holds in conditions

appropriate for their storage, and provide appropriate security for the Products, all at its own cost; 在适合储存的条件下保管库存产品，并确保产品安全，并自行承担相关成本；

Upon discussions by the Parties, obtain and maintain all necessary consents, permits, licenses, permissions, approvals and authorizations as are necessary or as will become necessary for the due execution and performance of this agreement and comply with all conditions of such consents, permits, licenses, permissions, approvals and

authorizations and all applicable laws, regulations, decrees and other governmental rules, including without limitation, those against unfair business conducts or corruption, in the performance of this agreement; and双方协商取得和维持所有为妥善签订和履行本协议所必需或将必需的同意、准许证、许可证件、准许、批准和授权，并符合取得上述同意、准许、许可证件、许可证、批准和授权所要求的条件和为履行协议而应遵守的法律、规章、法令和其他政府条例，包括但不限于反不正当行为或腐败的相关法规；

inform EVG in writing immediately of any changes in ownership or Control of the Distributor, and of any change in its organisation or method of doing business that might be expected to affect the

performance of the Distributor's duties in this agreement. 应立即书面通知****关于分销商所有权或控制权的任何变更，以及预期可能影响分销商履行其本协议项下责任的组织架构或商业方法上的任何变化。

inform EVG in writing immediately of any disputes, arbitrations, or litigations in relation to the Products in Territory.在销售区域内，有关产品的任何争议、仲裁、诉讼，分销商均应及时书面通知****。

4. 4.1

SUPPLY OF PRODUCTS产品的供应

The Distributor shall give EVG one (1) months' notice in writing of its forecast of the quantities of each type of Product that it expects to buy from EVG for delivery in a four (4)-month period. 分销商应该提前1个月将其预计在未来四个月期间从****订购并由****交付的每种类型产品的预测数量书面告知****。

EVG undertakes to use all reasonable efforts to meet all orders for the Products forwarded to it by the Distributor in accordance with EVG's terms of delivery to the extent the orders do not exceed the forecast for each type of Product given under

clause 4.1. The Distributor shall buy the Products for its own account for resale under this agreement. ****承诺尽一切努力，按照****的交付条款满足分销商向其发出的所有产品订单，只要订单不超过条款4.1规定的每类产品的预测数量。分销商应该按照本协议规定，以自己的名义购买产品并转售。

All Products shall be shipped to the Distributor's designated address to be provided by the Distributor in writing. The terms of shipment and delivery of the Products shall be determined by the Parties through negotiation in good faith and set forth in a supplementary agreement. EVG shall make its best efforts to deliver the Products within the agreed delivery time. 所有的产品应该运送至分销商通过书面形式指定的地点。运输和交付的条款须由协议方基于诚信原则协商确定，并签订补充协议予以规定。****应尽一切努力按照约定的时间交付产品。

Where the terms in the purchase order submitted by the Distributor are inconsistent to provisions in this Agreement, they shall be deemed to be void. 分销商提交订单中的条款如果与本协议不一致，应该视为无效。

On giving one (1) months' notice in writing to the Distributor, EVG may vary

Schedule 1 as it thinks fit to exclude one or more of the Products from this agreement if the production of such Products is permanently discontinued for any reason. 如果某种产品由于任何原因永久性停止生产，****应以书面形式提前1个月通知分销商，并相应调整附表一将该产品从本协议中排出。

EVG may make changes to the spefications of the Products, provided the changes do not adversely affect the quality of the Products. EVG shall give notice of any changes to Product specifications to the Distributor as soon as reasonably practicable. ****有权对产品的规格进行调整，只要该调整不会影响产品的质量。****应该在合理、可行的范围内尽快将对产品规格的调整情况通知分销商。 EVG'S UNDERTAKINGS ****的义务

EVG agrees that at all times during the Term it shall provide any information and support that may reasonably be requested by the Distributor to enable it to discharge its duties under this agreement properly and efficiently. ****同意在协议有效期内的

PRICES AND PAYMENT 价格和付款

The prices to be paid by the Distributor to EVG for the Products are to be determined by the Parties through negotiation in good faith. The quantity, price and shipping condition for the item(s) specified in this agreement shall be confirmed in each deal and specified in detail in the sales contract signed by both parties each time. For the avoidance of doubt, the amount charged by EVG for the Products only represents the consideration for the sale of the Products by EVG to the Distributor and does not include any other fees.分销商向****支付的产品的价格须由协议方基于诚信原则协商确定，并且，本协议所规定商品的数量、价格及装运条件等，应在每笔交易中确认，其细目应在双方每次签订的销售合同中作出规定。为避免歧义，****收取的产品价款仅包括****向分销商销售产品的价格，而不包含其它任何费用。

The wholesale prices and/or payment terms for the Products may be changed at any time through consultation and negotiation between the Parties in good faith. 产品的批发价格和/或支付条款会按照诚信的原则经协议方协商后随时作出调整。 In the case where the prices and/or payment terms can not be agreed by the Parties through negotiations in good faith, this agreement shall be terminated in accordance with clause 13. 如果价格和/或付款条款无法通过协议方基于诚信原则协商确定，本协议将根据条款13终止执行。 TAXES 税

The Parties shall discuss and determine the collection, remittance and payment of any or all taxes, charges, levies, assessments and other fees of any kind imposed by governmental or other authority in respect of the purchase, importation, sale, lease or other distribution of the Products. 双方协商确定如何承担任何或所有由政府或其他机构征收的，与购买、进口、销售、租赁或其他分销产品相关的税费，以及征收、评估和其他各种费用。

ADVERTISING AND PROMOTION 广告与促销

All advertising plans and materials related to the Products must be approved by EVG in writing in advance. Any such consent, approval and other actions of EVG shall not release the Distributor from its responsibilities hereunder or under the applicable laws in the Territory. Provided that both parties hereof may enter into supplemented

agreement to adjust and replace the cost to be incurred and the party to be responsible for such costs (annexed to this agreement as Schedule 4). 所有与产品相关的广告计划、材料必须经过****的事先书面同意。****作出的任何此类同意、批准和其

The Distributor shall 分销商:

be responsible for advertising and promoting the Products in the Territory; 负责产品在区域内的广告和促销；

display advertising materials and other signs provided by EVG; 展示****提供的广告材料和其他标志；

provide necessary assistance as reasonably requested by EVG in advertising and promotion carried out by EVG in the Territory; and 根据****的合理要求，为****在区域内开展的广告和促销活动提供必要的协助

not make any written statement as to the quality or manufacture of the Products without the prior written approval of EVG. 未经****的事先书面批准，不得对产品的质量或生产发表任何声明。

EVG shall make reasonable commercial efforts to participate with the Distributor in fairs, exhibitions and similar events in the Territory, but shall be under no obligation to do so unless such participation is agreed by the Parties in writing sufficiently in advance of each event to enable proper preparation by the Parties. ****应作出合理的商业努力与分销商共同参加区域内的展会、展览和类似活动，但是并没有义务这样做，除非这种参与是协议方在每次活动之前以书面形式约定，以确保协议方能够为该活动做好准备工作。

COMPLIANCE WITH LAWS AND REGULATIONS 合规性要求

The Distributor warrants to EVG that it shall inform EVG of all laws and regulations affecting the manufacture, import, marketing, sale, packaging and labelling of Products which are in force within the Territory or any part of it (\Local

Regulations\) prior to the export of the Products. 分销商应在产品出口前告知****所有与在区域内生产、进口、营销、销售、包装产品以及制作产品标签有关的所有法律法规（当地法规）。

The Distributor shall be responsible for, and shall make its best efforts in, obtaining any necessary registration, licences or permits required by the Local Regulations in relation to the entry of the Products into and sales of the Products within the Territory, including without limitation, import license, product registration, product inspection certificate, distribution and sales permits, or any other regulatory requirements of similar nature (\Regulatory Compliance\

participate in and provide necessary assistance to the Distributor's performance of its obligations under this clause 9.1. This agreement may be terminated in accordance to clause 13.4(a) if the Distributor fails to perform the Regulatory Compliance

obligations under this clause 9.1 for reasons other than the Distributor's negligence or

fault. 分销商负责取得当地法规所要求的与将产品进口至区域内以及在区域内销售产品有关的所有必须的注册登记、许可或批复，包括但不限于进口许可证、产品登记、产品检验证书、分销和销售许可，或其他任何类似的法规要求（“合规性要求”）。****应当尽最大努力参与分销商履行本9.1条项下义务的行为，并为此提供必要协助。在分销商并非由于其过失或错误的情况下而未能履行合规性要求，本协议可根据第13.4(a)条终止。

The Parties shall discuss and determine the completion of the customs clearance procedures in relation to the importation of the Products into the Territory as well as the bearing any customs duties, clearance charges, taxes, brokers' fees and other amounts payable in connection with the importation and delivery of the Products. 双方协商如何完成与产品进口到区域有关的海关清关手续，并承担关税、清关费用、其他税费、代理费用以及其他与进口及交付产品相关的应付款项。 EVG, in turn, warrants to the Distributor that the Products comply with the relevant laws and regulations of People's Republic of China (hereinafter referred to as \in force at the date of this agreement. ****向分销商保证，产品符合在本协议生效日有效的中华人民共和国的相关法律和法规。

The Distributor shall give EVG as much advance notice as reasonably possible of any prospective changes in the Local Regulations. 分销商应当在合理的情况下，提前通知****当地法规的变化。

On receipt of notification from the Distributor under clause 9.5, EVG shall make its best efforts to ensure that the Products comply with any change in the Local

Regulations by the date of implementation of that change or as soon as is reasonably possible afterwards. In the event that the Products cease to be in compliance with the Local Regulations as a result of the changed regulations, this agreement may be terminated in accordance to clause 13.4(a). 在根据第9.5条从分销商处收到通知后，****应当尽力保证使产品在该变化实施之日前或在实施之日后的合理时间内尽快符合当地法规的任何变化。在由于当地法规变化而致使本产品不再符合当地法规的情况下，本协议可根据第13.4(a)条终止。 ANTI-BRIBERY COMPLIANCE 反贿赂合规性要求 The Distributor shall: 分销商应当：

Distributor to comply with, all applicable laws, regulations, decrees and other governmental rules relating to anti-bribery and anti-corruption. Any breach of the obligations under this clause 10.1 by the Distributor shall entitle EVG to terminate this agreement in

EVG hereby grants to the Distributor the non-exclusive right, in the Territory, to use the Trade Marks in the promotion, advertisement and sale of the Products, subject to, and for the duration of, this agreement. The Distributor shall market and sell the Products only under the Trade Marks, and not in association with any other trade mark, brand or trade name, except as

permitted in any branding manual issued by EVG. The Distributor shall ensure that the appropriate Trade Marks shall appear on all Products, containers and

advertisements for the Products as appropriate. 除在****发布的品牌管理手册中授权外，分销商只能使用本商标营销并销售产品，且不得与其他任何商标、品牌或商号联合使用。分销商应当确保在所有产品、包装物和产品的广告中显示商标。

The Distributor shall comply with all rules for the use of the Trade Marks issued by EVG (including those set out in any branding manual issued by EVG) and shall not, without the prior written consent of EVG, alter or make any addition to the labelling

or packaging of the Products displaying the Trade Marks. The Distributor shall not do, or omit to do, anything in its use of the Trade Marks that could adversely affect their validity or reputation. 分销商在使用商标过程中不得从事任何行为或通过消极不作为来损害商标的有效性和名誉。

EVG alone is responsible for the registration and maintenance of any marks or designs that relate to the Products. COMMENCEMENT, DURATION AND TERMINATION 起始、有效期间和终止 This agreement shall take effect on the Commencement Date and and shall continue in force for a term of three (3) years (\Initial Term\本协议自起始日起生效，并在3年内有效（“初始有效期”）。

Each Party agrees to, no less than two (2) months prior to the expiration of the Initial Term, discuss and negotiate with each other in good faith with the view to reaching an agreement to extend the Initial Term for successive period of twelve (12) months each (“Extended Term”) provided that this agreement has not already been terminated earlier in accordance with clause 13.4. below. 双方同意，在不迟于初始有效期届满前2个月时，若届时本协议未按照13.4条提前终止，双方应善意协商以达成将初始有效期延长12个月（“延长期”）的一致意见。

The Extended Term may be further renewed on the same principles set out in clause 13.2 provided that if either Party does not wish to discuss or negotiate further to

Termination or expiry of this agreement shall not affect any rights, remedies,

obligations or liabilities of the Parties that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the

failure arises beyond the control of the Party including but not limited to, acts of God, acts or regulations of any government, including restrictions on export or

manufacturing of the Products, war or national emergency, accident, fire (each a \Force Majeure Event\guilty of contributory negligence and that it has taken all necessary steps to mitigate the effects of such Force Majeure. 任何一方对于其合理控制之外的任何原因造成的履行延误或履行不能，不应视为未按照本协议约定履行其义务，因此，不应向另一方负任何责任。这些合理控制之外的因素包括但不限于，天灾、任何政府法令，包括对产品的出口和制造的限制，战争或国家应急、事故、火灾（称为“不可抗力事件”）。只要遭受不可抗力的一方没有疏忽大意的过失，并且已经采取了一切必要的措施，以减轻不可抗力的影响。

ENTIRE AGREEMENT 完整的协议

This agreement constitutes the entire agreement between the Parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties,

representations and understandings between them, whether written or oral, relating to its subject matter. 本协议构成双方之间的全部协议，并取代和废止协议方之间所有先前的与本协议内容相关的协议、承诺、保证、担保、陈述和理解，无论是书面还是口头的。

VARIATION 修订

The Parties may negotiate in good faith to modify or supplement this agreement at any time to provide for any matters in relation to the appointment of the Distributor and the cooperation between the Parties. Failing agreement between the Parties on the contemplated modification or supplementation to this agreement through negotiation in good faith, the Parties may terminate in accordance to clause 13.4(a). 协议方可以在任何时间基于诚信原则，就分销商约定和协议方合作等事项，协商修改或补充本协议。未按照诚信原则通过协商对本协议进行修改或补充的，协议方可以按照条款13.4（a）终止本协议。

Subject to clause 4.5, no amendment or variation of this agreement shall be effective unless it is in writing and signed by the Parties (or their authorised representatives). 根据条款4.5，除非采用书面形式并经协议方（或其授权的代表）签字确认，任何对本协议的补充或修改都是无效的。

ASSIGNMENT AND OTHER DEALINGS 分配和其他处置

20. FREEDOM TO CONTRACT 签约自由

The Parties declare that they each have the full right, power and authority to enter into this agreement and the execution and performance of this agreement will not conflict with or violate any other agreement or obligation binding on it. 协议方声明，其任何一方都有充分的权利、权力和权限签订本协议。本协议的签署和履行不会违反任何其他协议或其所承担的义务。

21. WAIVER 放弃权利

No failure or delay by a Party to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. 未按照本协议约定或法律规定或延迟行使本协议项下的权利和救济并不构成放弃该权利或其他权利或救济，同时也不排除或限制进一步行使该项权利或其他权利或救济。单一或部分行使该项权利或救济，并不排除或限制进一步行使任何其他权利或救济。

22. SEVERANCE 条款的独立性

If any provision or part-provision of this agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant

provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement. 如果本协议的任何条款或条款任何部分无效或变得无效、非法或不可执行，应当视为有必要作最低限度的修改，以使其有效、合法和可执行。如果这样的修改是不可能的，有关条款或条款的有关部分应视为已删除。根据本条款规定对任何条款或条款的一部分作出的修改或删除，不影响本协议的其余部分的有效性和可执行性。

Schedule 3 EVG's Ethics and Anti-Bribery Policy 清单三 ****道德操守和反贿赂政策

Both Parties shall work on Integrity Cooperation. All forms of expression or suggestion conducted by the Seller for banquets, gifts, money, benefits or profits from the Buyer shall be prohibited.

The Buyer shall not provide private benefits, commit bribery or offer improper business banquets to the Seller in any means. Once verified, the Seller shall be entitled to unilaterally terminate the Contract under the occurrence of such improper business activities conducted by the Seller. The Buyer shall bear the liability of compensation for the loss of the Seller arising from termination. The Buyer shall take the liability for breach of Contract in the event of default as well. The Seller may reserve the right to take legal action necessary against the Buyer due to severity of offence. Nevertheless, the Buyer may reserve contractual rights and obligations related to above conducts, if the Buyer confesses those improper conducts proactively, or there is evidence that such conducts is forced or pressured by the Seller side. 双方应廉洁合作。禁止卖方人员以任何方式明、暗示买方请吃、请喝、收受买方礼金、礼品或接受买方提供的其他私人便利或利益。

禁止买方以任何方式向卖方人员提供私人便利、行贿或进行非正常商务宴请。如果出现买方在履约过程进行私下请吃、向卖方人员提供私人便利、行贿等一切非正常的经济活动，一经查实，卖方有权单方解除合同，因解除相关合同给卖方造成损失的，由买方承担赔偿责任；同时，买方如有违约，仍须承担违约责任。买方的上述行为严重的，卖方保留追究法律责任的权利；如果买方事后主动积极向卖方陈述事实，或买方有证据显示以上行为为卖方人员施压的不得已行为，则买方仍保留与上述行为相关的合同的权利和义务。
