Recruitment Service Agreement 招聘服务协议
This Recruitment Service Agreement (the “Agreement”) is made between 招聘服务协议(以下简称“本协议”)由以下两方签订:
Party A: *Airlines (“Client\ 甲方:*有限公司
and 与
Party B: Shanghai*Human Resource Co., Ltd. (“Recruitment Firm”, or \ 乙方: 上海*人力资源 限公司
(Hereinafter Party A and Party B shall be referred to as the “Parties” collectively and the “Party” individually)
(甲方和乙方下文统称为“双方”,分别简称为“一方”。)
Whereas, Party A desires to engage Party B, and Party B is qualified and desires to provide to Party A with the recruitment services described herein;
鉴于,甲方希望聘用乙方,且乙方有资质且亦希望向甲方提供本协议项下的招聘服务;
Now, therefore, the Parties, through friendly consultation, agree and enter into the follows terms and conditions.
因此,双方经协商一致就以下条款和条件达成一致。
Party B’s Responsibilities: 乙方职责:
Party B shall provide to Party A the following services and bear the following responsibilities under this Agreement:
本协议项下乙方应向甲方提供的服务及其应承担的义务包括但不限于以下内容:
? Get to know the Client including its organizational structure, major competitors and corporate culture,
etc;
? 了解甲方的相关情况,包括它的组织结构,主要竞争对手,公司文化等;
? Present candidates to the Client for interview and/or review until the position is filled, unless otherwise
notified;
? 提供符合甲方基本要求的候选人供甲方面试直至找到合格人选,除非甲方另行通知;
? Present candidates who specifically match the background, skills, education, experience and
achievements as outlined in the job description;
? 根据工作职责的介绍提供符合背景、技能、教育水平、工作经验和工作成绩等条件的候选人; ? Obtain the candidates’ express permission before presentation; ? 在推荐候选人之前取得其同意;
? Negotiate with the Client and agree upon a reasonable estimate of the first year's gross earnings
which will be the basis for the service charge if there is any position compensated on a basis other than a fixed salary or wage, such as certain sales positions, consulting or independent contracting; ? 若某一职位并非以固定金额计薪(例如某些销售岗位、咨询服务或独立承包商),则与甲方协商,确认
该职位合理预计的首年总收入,以作为服务费计算依据;
? Contact potential candidates, screening them by telephone and interviewing, to narrow the field to the
most qualified candidates only;
? 用电话或面试方式搜索并审查相关候选人,寻找尽可能合适的候选人;
? Conduct research to identify potential candidates and compile and provide to Party A as much
information about them as possible;
? 研究并确定潜在候选人,向甲方提供尽可能多的关于潜在候选人的相关信息;

? Thoroughly screen each candidate to assess candidate’s qualifications and interests regarding the
specific position for which he/she is being considered;
? 从各方面彻底地评估候选人的条件以及其对职位的感兴趣程度;
? Follow-up with the Client and placed candidate to help make the transition go as smoothly as
possible.
? 当候选人被甲方录取后,对甲方及候选人进行跟踪服务,使双方平稳渡过磨合期;
? Guarantee that the services provided hereto are complied with the relevant laws and regulations as
well as Party A’s requirements.
? 保证本协议项下提供的服务均符合相关法律法规以及甲方的要求。
Party A’s Rights and Responsibilities: 甲方权利与职责:
? Party A agrees to prepare a written job description for each position Party A enlists Party B’s help to fill
as well as any other necessary corporate information, including:
? 甲方提供每一个合作招聘岗位具体的书面岗位描述以及其他必要的公司信息,包括:
? An accurate job description profiling duties and expectations including background, skills,
education, experience and achievements; ? 准确的关于岗位职责和期望候选人条件(包括背景、技能、教育、工作经验及成就)的描述; ? Information concerning company benefits, opportunities for growth, etc., ? 岗位薪金、福利及晋升机会等信息的描述; ? A complete description of the work environment, company policies, etc.; ? 工作环境、公司政策等信息的完整描述。
? Party A agrees to strictly maintain confidentiality in candidates and Mission Report that Party B
presents;
? 甲方同意为候选人以及乙方提交的任务报告书严格保密;
? Party A shall timely provide feedback to Party B toward the resumes and the candidates submitted by
Party B for Party A’s review;
? 甲方及时就乙方所提供的供甲方审阅的候选人简历或其本人情况与乙方进行反馈;
? Party A shall be entitled to cancel or suspend the recruitment of any position at any time by giving
notification to Party B;
? 甲方有权随时通知乙方取消或暂停某一职位的招聘;
? Party A shall be entitled to search candidates through any other channels or by itself. ? 甲方有权通过其他招聘渠道招聘或自行招聘。
? Party B will launch Party A’s positions and logo in Party B’s website without any charge. ? 乙方将免费发布甲方的职位及企业商标于乙方所属网站。
Fee Schedule and Mode of Payment 费用和付款方式
? Party A and Party B agree on the following payment schedule and method: ? 此费用条款由甲乙双方共同确认。
? For All the positions that are filled by the candidates presented by Party B to Part A, the service fee
shall be calculated in accordance with the following schedule: Service Fee Rate:
20% of the before-tax annual package in cash of the first year for each right candidate. For purpose of this Agreement, the “annual salary” means the fixed yearly salary of the first year specified in the employment contract (including bonus, allowance, benefits, subsidies or any other earnings of any form), or if the compensation of the position is calculated other than a fixed salary, the first year's gross earnings that are agreed upon by both Parties through consultations.
