EXW(insertnamedplaceofdelivery)Incoterms2010GUIDANCENOTE

Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.

Itissuitablefordomestictrade,whileFCAisusuallymoreappropriateforinternationaltrade.“ExWorks”meansthatthesellerdeliverswhenitplacesthegoodsatthedisposalofthebuyerattheseller’spremisesoratanothernamedplace(i.e.,works,factory,warehouse,etc.).Thesellerdoesnotneedtoloadthegoodsonanycollectingvehicle,nordoesitneedtoclearthegoodsforexport,wheresuchclearanceisapplicable.

Thepartiesarewelladvisedtospecifyasclearlyaspossiblethepointwithinthenamedplaceofdelivery,asthecostsandriskstothatpointarefortheaccountoftheseller.Thebuyerbearsallcostsandrisksinvolvedintakingthegoodsfromtheagreedpoint,ifany,atthenamedplaceofdelivery.

EXWrepresentstheminimumobligationfortheseller.Theruleshouldbeusedwithcareas:a)Thesellerhasnoobligationtothebuyertoloadthegoods,eventhoughinpracticethesellermaybeinabetterpositiontodoso.Ifthesellerdoesloadthegoods,itdoessoatthebuyer’sriskandexpense.Incaseswherethesellerisinabetterpositiontoloadthegoods,FCA,whichobligesthesellertodosoatitsownriskandexpense,isusuallymoreappropriate.

b)AbuyerwhobuysfromaselleronanEXWbasisforexportneedstobeawarethatthesellerhasanobligationtoprovideonlysuchassistanceasthebuyermayrequiretoeffectthatexport:thesellerisnotboundtoorganizetheexportclearance.BuyersarethereforewelladvisednottouseEXWiftheycannotdirectlyorindirectlyobtainexportclearance.

c)Thebuyerhaslimitedobligationstoprovidetotheselleranyinformationregardingtheexportofthegoods.However,thesellermayneedthisinformationfor,e.g.,taxationorreportingpurposes.

ATHESELLER’OBLIGATIONS

A1Generalobligationsoftheseller

Thesellermustprovidethegoodsandthecommercialinvoiceinconformitywiththecontractofsaleandanyotherevidenceofconformitythatmayberequiredbythecontract.AnydocumentreferredtoinA1-A10maybeanequivalentelectronicrecordorprocedureifagreedbetweenthepartiesorcustomary.

A2Licences,authorizations,securityclearancesandotherformalitiesWhereapplicable,thesellermustprovidethebuyer,atthebuyer’srequest,riskandexpense,assistanceinobtaininganyexportlicence,orotherofficialauthorizationnecessaryfortheexportofthegoods.

Whereapplicable,thesellermustprovide,atthebuyer’srequest,riskandexpense,any

informationinthepossessionofthesellerthatisrequiredforthesecurityclearanceofthegoods.A3Contractsofcarriageandinsurance

a)Contractofcarriage

Thesellerhasnoobligationtothebuyertomakeacontractofcarriage.

b)Contractofinsurance

Thesellerhasnoobligationtothebuyertomakeacontractofinsurance.However,thesellermustprovidethebuyer,atthebuyer’srequest,riskandexpense(ifany),withinformationthatthebuyerneedsforobtaininginsurance.

A4Delivery

Thesellermustdeliverthegoodsbyplacingthematthedisposalofthebuyerattheagreedpoint,ifany,atthenamedplaceofdelivery,notloadedonanycollectingvehicle.Ifnospecificpointhasbeenagreedwithinthenamedplaceofdelivery,andifthereareseveralpointsavailable,thesellermayselectthepointthatbestsuitsitspurpose.Thesellermustdeliverthegoodsontheagreeddateorwithintheagreedperiod.

BTHEBUYER’OBLIGATIONS

B1Generalobligationsofthebuyer

Thebuyermustpaythepriceofthegoodsasprovidedinthecontractofsale.

AnydocumentreferredtoinB1-B10maybeanequivalentelectronicrecordorprocedureifagreedbetweenthepartiesorcustomary.

B2Licences,authorizations,securityclearancesandotherformalities

Whereapplicable,itisuptothebuyertoobtain,atitsownriskandexpense,anyexportandimportlicenceorotherofficialauthorizationandcarryoutallcustomsformalitiesfortheexportofthegoods.

B3Contractsofcarriageandinsurance

a)Contractofcarriage

Thebuyerhasnoobligationtothesellertomakeacontractofcarriage.

b)Contractofinsurance

Thebuyerhasnoobligationtothesellertomakeacontractofinsurance.

B4Takingdelivery

ThebuyermusttakedeliveryofthegoodswhenA4andA7havebeencompliedwith.

A5Transferofrisks

ThesellerbearsallrisksoflossofordamagetothegoodsuntiltheyhavebeendeliveredinaccordancewithA4withtheexceptionoflossordamageinthecircumstancesdescribedinB5.

A6Allocationofcosts

ThesellermustpayallcostsrelatingtothegoodsuntiltheyhavebeendeliveredinaccordancewithA4,otherthanthosepayablebythebuyerasenvisagedinB6.

A7Noticestothebuyer

Thesellermustgivethebuyeranynoticeneededtoenablethebuyertotakedeliveryofthegoods.

A8Deliverydocument

Thesellerhasnoobligationtothebuyer.

B5Transferofrisks

ThebuyerbearsallrisksoflossofordamagetothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4.IfthebuyerfailstogivenoticeinaccordancewithB7,thenthe

buyerbearsallrisksoflossofordamagetothegoodsfromtheagreeddateortheexpirydateoftheagreedperiodfordelivery,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods.

B6Allocationofcosts

Thebuyermust:

a)payallcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4;b)payanyadditionalcostsincurredbyfailingeithertotakedeliveryofthegoodswhentheyhavebeenplacedatitsdisposalortogiveappropriatenoticeinaccordancewithB7,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods;

c)pay,whereapplicable,allduties,taxesandothercharges,aswellasthecostsofcarryingoutcustomsformalitiespayableuponexport;and

d)reimburseallcostsandchargesincurredbythesellerinprovidingassistanceasenvisagedinA2.

B7Noticestotheseller

Thebuyermust,wheneveritisentitledtodeterminethetimewithinanagreedperiodand/orthepointoftakingdeliverywithinthenamedplace,givethesellersufficientnoticethereof.

B8Proofofdelivery

Thebuyermustprovidethesellerwithappropriateevidenceofhavingtakendelivery.

A9Checking–packaging–marking

Thesellermustpaythecostsofthosecheckingoperations(suchascheckingquality,measuring,weighing,counting)thatarenecessaryforthepurposeofdeliveringthegoodsinaccordancewithA4.

A10Assistancewithinformationandrelatedcosts

Thesellermust,whereapplicable,inatimelymanner,providetoorrenderassistancein

obtainingforthebuyer,atthebuyer’srequest,riskandexpense,anydocumentsandinformation,includingsecurity-relatedinformation,thatthebuyerneedsfortheexportand/orimportofthegoodsand/orfortheirtransporttothefinaldestination.

B9Inspectionofgoods

Thebuyermustpaythecostsofanymandatorypre-shipmentinspection,includinginspectionmandatedbytheauthoritiesofthecountryofexport.

B10Assistancewithinformationandrelatedcosts

Thebuyermust,inatimelymanner,advisethesellerofanysecurityinformationrequirementssothatthesellermaycomplywithA10.

ThebuyermustreimbursethesellerforallcostsandchargesincurredbythesellerinprovidingorrenderingassistanceinobtainingdocumentsandinformationasenvisagedinA10.

FreeCarrier

GUIDANCENOTE

Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.“FreeCarrier”meansthatthesellerdeliversthegoodstothecarrieroranotherpersonnominatedbythebuyerattheseller’spremisesoranothernamedplace.Thepartiesarewelladvisedtospecifyasclearlyaspossiblethepointwithinthenamedplaceofdelivery,astheriskpassestothebuyeratthatpoint.Ifthepartiesintendtodeliverthegoodsattheseller’spremises,theyshouldidentifytheaddressofthosepremisesasthenamedplaceofdelivery.If,ontheotherhand,thepartiesintendthegoodstobedeliveredatanotherplace,theymustidentifyadifferentspecificplaceofdelivery.

FCArequiresthesellertoclearthegoodsforexport,whereapplicable.However,thesellerhasnoobligationtoclearthegoodsforimport,payanyimportdutyorcarryoutanyimportcustomsformalities.

ATHESELLER’OBLIGATIONS

A1Generalobligationsoftheseller

Thesellermustprovidethegoodsandthecommercialinvoiceinconformitywiththecontractofsaleandanyotherevidenceofconformitythatmayberequiredbythecontract.

AnydocumentreferredtoinA1-A10maybeanequivalentelectronicrecordorprocedureifagreedbetweenthepartiesorcustomary.

A2Licences,authorizations,securityclearancesandotherformalities

Whereapplicable,thesellermustobtain,atitsownriskandexpense,anyexportlicenceorotherofficialauthorizationandcarryoutallcustomsformalitiesnecessaryfortheexportofthegoods.

A3Contractsofcarriageandinsurance

a)Contractofcarriage

Thesellerhasnoobligationtothebuyertomakeacontractofcarriage.However,ifrequestedbythebuyerorifitiscommercialpracticeandthebuyerdoesnotgiveaninstructiontothecontraryinduetime,thesellermaycontractforcarriageonusualtermsatthebuyer’sriskandexpense.Ineithercase,thesellermaydeclinetomakethecontractofcarriageand,ifitdoes,shallpromptlynotifythebuyer.

b)Contractofinsurance

Thesellerhasnoobligationtothebuyertomakeacontractofinsurance.However,thesellermustprovidethebuyer,atthebuyer’srequest,risk,andexpense(ifany),withinformationthatthebuyerneedsforobtaininginsurance.

A4Delivery

Thesellermustdeliverthegoodstothecarrieroranotherpersonnominatedbythebuyerattheagreedpoint,ifany,atthenamedplaceontheagreeddateorwithintheagreedperiod.

Deliveryiscompleted:

a)Ifthenamedplaceistheseller’spremises,whenthegoodshavebeenloadedonthemeansoftransportprovidedbythebuyer.

b)Inanyothercase,whenthegoodsareplacedatthedisposalofthecarrieroranotherpersonnominatedbythebuyerontheseller’smeansoftransportreadyforunloading.

IfnospecificpointhasbeennotifiedbythebuyerunderB7d)withinthenamedplaceofdelivery,andifthereareseveralpointsavailable,thesellermayselectthepointthatbestsuitsitspurpose.BTHEBUYER’OBLIGATIONS

ThebuyermusttakedeliveryofthegoodswhentheyhavebeendeliveredasenvisagedinA4.Unlessthebuyernotifiesthesellerotherwise,thesellermaydeliverthegoodsforcarriageinsuchamannerasthequantityand/ornatureofthegoodsmayrequire.

A5Transferofrisks

ThesellerbearsallrisksoflossofordamagetothegoodsuntiltheyhavebeendeliveredinaccordancewithA4,withtheexceptionoflossordamageinthecircumstancesdescribedinB5.

A6Allocationofcosts

Thesellermustpay

a)allcostsrelatingtothegoodsuntiltheyhavebeendeliveredinaccordancewithA4,otherthanthosepayablebythebuyerasenvisagedinB6;and

b)whereapplicable,thecostsofcustomsformalitiesnecessaryforexport,aswellasallduties,taxes,andotherchargespayableuponexport.

B5Transferofrisks

ThebuyerbearsallrisksoflossofordamagetothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4.

a)thebuyerfailsinaccordancewithB7tonotifythenominationofacarrieroranotherpersonasenvisagedinA4ortogivenotice;or

b)thecarrierorpersonnominatedbythebuyerasenvisagedinA4failstotakethegoodsintoitscharge,then,thebuyerbearsallrisksoflossofordamagetothegoods:

(i)fromtheagreeddate,orintheabsenceofanagreeddate,

(ii)fromthedatenotifiedbythesellerunderA7withintheagreedperiod;or,ifnosuchdatehasbeennotified,

(iii)fromtheexpirydateofanyagreedperiodfordelivery,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods.

B6Allocationofcosts

Thebuyermustpay

a)allcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4,except,whereapplicable,thecostsofcustomsformalitiesnecessaryforexport,aswellasallduties,taxes,andotherchargespayableuponexportasreferredtoinA6b);

b)anyadditionalcostsincurred,eitherbecause:

(i)thebuyerfailstonominateacarrieroranotherpersonasenvisagedinA4,or

(ii)thecarrierorpersonnominatedbythebuyerasenvisagedinA4failstotakethegoodsintoitscharge,or

(iii)thebuyerhasfailedtogiveappropriatenoticeinaccordancewithB7,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods;and

c)whereapplicable,allduties,taxesandotherchargesaswellasthecostsofcarryingoutcustomsformalitiespayableuponimportofthegoodsandthecostsfortheirtransportthroughanycountry.

A7Noticestothebuyer

Thesellermust,atthebuyer’sriskandexpense,givethebuyersufficientnoticeeitherthatthegoodshavebeendeliveredinaccordancewithA4orthatthecarrieroranotherpersonnominatedbythebuyerhasfailedtotakethegoodswithinthetimeagreed.

A8Deliverydocument

Thesellermustprovidethebuyer,attheseller’sexpense,withtheusualproofthatthegoodshavebeendeliveredinaccordancewithA4.

Thesellermustprovideassistancetothebuyer,atthebuyer’srequest,riskandexpense,inobtainingatransportdocument.

A9Checking–packaging–marking

Thesellermust,atitsownexpense,packagethegoods,unlessitisusualfortheparticulartradetotransportthetypeofgoodssoldunpackaged.Thesellermaypackagethegoodsinthemannerappropriatefortheirtransport,unlessthebuyerhasnotifiedthesellerofspecificpackagingrequirementsbeforethecontractofsaleisconcluded.Packagingistobemarkedappropriately.A10AssistancewithinformationandrelatedcostsThesellermust,whereapplicable,inatimelymanner,providetoorrenderassistanceinobtainingforthebuyer,atthebuyer’srequest,

riskandexpense,anydocumentsandinformation,includingsecurity-relatedinformation,thatthebuyerneedsfortheimportofthegoodsand/orfortheirtransporttothefinaldestination.

B7Noticestotheseller

Thebuyermustnotifythesellerof

a)thenameofthecarrieroranotherpersonnominatedasenvisagedinA4withinsufficienttimeastoenablethesellertodeliverthegoodsinaccordancewiththatarticle;

b)wherenecessary,theselectedtimewithintheperiodagreedfordeliverywhenthecarrierorpersonnominatedwilltakethegoods;

c)themodeoftransporttobeusedbythepersonnominated;and

d)thepointoftakingdeliverywithinthenamedplace.

B8Proofofdelivery

ThebuyermustaccepttheproofofdeliveryprovidedasenvisagedinA8.

B9Inspectionofgoods

Thebuyermustpaythecostsofanymandatorypre-shipmentinspection,exceptwhensuchinspectionismandatedbytheauthoritiesofthecountryofexport.

B10Assistancewithinformationandrelatedcosts

Thebuyermust,inatimelymanner,advisethesellerofanysecurityinformationrequirementssothatthesellermaycomplywithA10.

ThebuyermustreimbursethesellerforallcostsandchargesincurredbythesellerinprovidingorrenderingassistanceinobtainingdocumentsandinformationasenvisagedinA10.

ThesellermustreimbursethebuyerforallcostsandchargesincurredbythebuyerinprovidingorrenderingassistanceinobtainingdocumentsandinformationasenvisagedinB10.

Thebuyermust,whereapplicable,inatimelymanner,providetoorrenderassistancein

obtainingfortheseller,attheseller’srequest,riskandexpense,anydocumentsandinformation,includingsecurity-relatedinformation,thatthesellerneedsforthetransportandexportofthegoodsandfortheirtransportthroughanycountry.

CARRIAGEPAIDTO

GUIDANCENOTE

Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.

“CarriagePaidTo”meansthatthesellerdeliversthegoodstothecarrieroranotherpersonnominatedbytheselleratanagreedplace(ifanysuchplaceisagreedbetweentheparties)andthatthesellermustcontractforandpaythecostsofcarriagenecessarytobringthegoodstothenamedplaceofdestination.

WhenCPT,CIP,CFRorCIFareused,thesellerfulfilsitsobligationtodeliverwhenithandsthegoodsovertothecarrierandnotwhenthegoodsreachtheplaceofdestination.

Thisrulehastwocriticalpoints,becauseriskpassesandcostsaretransferredatdifferentplaces.Thepartiesarewelladvisedtoidentifyaspreciselyaspossibleinthecontractboththeplaceofdelivery,wheretheriskpassestothebuyer,andthenamedplaceofdestinationtowhichthesellermustcontractforthecarriage.Ifseveralcarriersareusedforthecarriagetotheagreeddestinationandthepartiesdonotagreeonaspecificpointofdelivery,thedefaultpositionisthatriskpasseswhenthegoodshavebeendeliveredtothefirstcarrieratapointentirelyofthe

seller’schoosingandoverwhichthebuyerhasnocontrol.Shouldthepartieswishtherisktopassatalaterstage(e.g.,atanoceanportorairport),theyneedtospecifythisintheircontractofsale.Thepartiesarealsowelladvisedtoidentifyaspreciselyaspossiblethepointwithintheagreedplaceofdestination,asthecoststothatpointarefortheaccountoftheseller.Thesellerisadvisedtoprocurecontractsofcarriagethatmatchthischoiceprecisely.Ifthesellerincurscostsunderitscontractofcarriagerelatedtounloadingatthenamedplaceofdestination,thesellerisnotentitledtorecoversuchcostsfromthebuyerunlessotherwiseagreedbetweentheparties.

CPTrequiresthesellertoclearthegoodsforexport,whereapplicable.However,thesellerhasnoobligationtoclearthegoodsforimport,payanyimportdutyorcarryoutanyimportcustomsformalities.

ATHESELLER’OBLIGATIONS

A1Generalobligationsoftheseller

A2Licences,authorizations,securityclearancesandotherformalitiesWhereapplicable,thesellermustobtain,atitsownriskandexpense,anyexportlicenceorotherofficialauthorizationandcarryoutallcustomsformalitiesnecessaryfortheexportofthegoods,andfortheir

Thesellermustcontractorprocureacontractforthecarriageofthegoodsfromtheagreedpointofdelivery,ifany,attheplaceofdeliverytothenamedplaceofdestinationor,ifagreed,anypointatthatplace.Thecontractofcarriagemustbemadeonusualtermsattheseller’s

expenseandprovideforcarriagebytheusualrouteandinacustomarymanner.Ifaspecificpointisnotagreedorisnotdeterminedbypractice,thesellermayselectthepointofdeliveryandthepointatthenamedplaceofdestinationthatbestsuititspurpose.

b)Contractofinsurance

Thesellerhasnoobligationtothebuyertomakeacontractofinsurance.However,thesellermustprovidethebuyer,atthebuyer’srequest,risk,andexpense(ifany),withinformationthatthebuyerneedsforobtaininginsurance.

A4Delivery

ThesellermustdeliverthegoodsbyhandingthemovertothecarriercontractedinaccordancewithA3ontheagreeddateorwithintheagreedperiod.

b)thefreightandallothercostsresultingfromA3a),includingthecostsofloadingthegoodsandanychargesforunloadingattheplaceofdestinationthatwerefortheseller’saccountunderthecontractofcarriage;and

c)whereapplicable,thecostsofcustomsformalitiesnecessaryforexport,aswellasallduties,taxesandotherchargespayableuponexport,andthecostsfortheirtransportthroughanycountrythatwerefortheseller’saccountunderthecontractofcarriage.

A7Noticestothebuyer

ThesellermustnotifythebuyerthatthegoodshavebeendeliveredinaccordancewithA4.Thesellermustgivethebuyeranynoticeneededinordertoallowthebuyertotakemeasuresthatarenormallynecessarytoenablethebuyertotakethegoods.

B5Transferofrisks

ThebuyerbearsallrisksoflossofordamagetothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4.IfthebuyerfailstogivenoticeinaccordancewithB7,itmustbearallrisksoflossofordamagetothegoodsfromtheagreeddateortheexpirydateoftheagreedperiodfordelivery,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods.

B6Allocationofcosts

Thebuyermust,subjecttotheprovisionsofA3a),pay

b)allcostsandchargesrelatingtothegoodswhileintransituntiltheirarrivalattheagreedplaceofdestination,unlesssuchcostsandchargeswerefortheseller’saccountunderthecontractofcarriage;

B7Noticestotheseller

Thebuyermust,wheneveritisentitledtodeterminethetimefordispatchingthegoodsand/orthenamedplaceofdestinationorthepointofreceivingthegoodswithinthatplace,givethesellersufficientnoticethereof.

Ifcustomaryoratthebuyer’srequest,thesellermustprovidethebuyer,attheseller’sexpense,withtheusualtransportdocument[s]forthetransportcontractedinaccordancewithA3.

Thistransportdocumentmustcoverthecontractgoodsandbedatedwithintheperiodagreedforshipment.Ifagreedorcustomary,thedocumentmustalsoenablethebuyertoclaimthegoodsfromthecarrieratthenamedplaceofdestinationandenablethebuyertosellthegoodsintransitbythetransferofthedocumenttoasubsequentbuyerorbynotificationtothecarrier.Whensuchatransportdocumentisissuedinnegotiableformandinseveraloriginals,afullsetoforiginalsmustbepresentedtothebuyer.

A9Checking–packaging–marking

Thesellermustpaythecostsofthosecheckingoperations(suchascheckingquality,measuring,weighing,counting)thatarenecessaryforthepurposeofdeliveringthegoodsinaccordancewithA4,aswellasthecostsofanypre-shipmentinspectionmandatedbytheauthorityofthecountryofexport.Thesellermust,atitsownexpense,packagethegoods,unlessitisusualfortheparticulartradetotransportthetypeofgoodssoldunpackaged.Thesellermaypackagethegoodsinthemannerappropriatefortheirtransport,unlessthebuyerhasnotifiedthesellerofspecificpackagingrequirementsbeforethecontractofsaleisconcluded.Packagingistobemarkedappropriately.

A10Assistancewithinformationandrelatedcosts

Thesellermust,whereapplicable,inatimelymanner,providetoorrenderassistancein

obtainingforthebuyer,atthebuyer’srequest,riskandexpense,anydocumentsandinformation,includingsecurity-relatedinformation,thatthebuyerneedsfortheimportofthegoodsand/orfortheirtransporttothefinaldestination.

ThesellermustreimbursethebuyerforallcostsandchargesincurredbythebuyerinprovidingorrenderingassistanceinobtainingdocumentsandinformationasenvisagedinB10.

B8Proofofdelivery

ThebuyermustacceptthetransportdocumentprovidedasenvisagedinA8ifitisinconformitywiththecontract.

B9Inspectionofgoods

Thebuyermustpaythecostsofanymandatorypre-shipmentinspection,exceptwhensuchinspectionismandatedbytheauthoritiesofthecountryofexport.

GUIDANCENOTE

Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.“CarriageandInsurancePaidto”meansthatthesellerdeliversthegoodstothecarrieroranotherpersonnominatedbytheselleratanagreedplace(ifanysuchplaceisagreedbetweentheparties)andthatthesellermustcontractforandpaythecostsofcarriagenecessarytobringthegoodstothenamedplaceofdestination.

Theselleralsocontractsforinsurancecoveragainstthebuyer’sriskoflossofordamagetothegoodsduringthecarriage.ThebuyershouldnotethatunderCIPthesellerisrequiredtoobtaininsuranceonlyonminimumcover.Shouldthebuyerwishtohavemoreinsuranceprotection,itwillneedeithertoagreeasmuchexpresslywiththesellerortomakeitsownextrainsurancearrangements.

WhenCPT,CIP,CFRorCIFareused,thesellerfulfilsitsobligationtodeliverwhenithandsthegoodsovertothecarrierandnotwhenthegoodsreachtheplaceofdestination.

destinationandthepartiesdonotagreeonaspecificpointofdelivery,thedefaultpositionisthatriskpasseswhenthegoodshavebeendeliveredtothefirstcarrieratapointentirelyoftheseller’schoosingandoverwhichthebuyerhasnocontrol.Shouldthepartieswishtherisktopassatalaterstage(e.g.,atanoceanportoranairport),theyneedtospecifythisintheircontractofsale.

Thepartiesarealsowelladvisedtoidentifyaspreciselyaspossiblethepointwithintheagreedplaceofdestination,asthecoststothatpointarefortheaccountoftheseller.Thesellerisadvisedtoprocurecontractsofcarriagethatmatchthischoiceprecisely.Ifthesellerincurscostsunderitscontractofcarriagerelatedtounloadingatthenamedplaceofdestination,thesellerisnotentitledtorecoversuchcostsfromthebuyerunlessotherwiseagreedbetweentheparties.

CIPrequiresthesellertoclearthegoodsforexport,whereapplicable.However,thesellerhasnoobligationtoclearthegoodsforimport,payanyimportdutyorcarryoutanyimportcustomsformalities.

ThesellermustobtainatitsownexpensecargoinsurancecomplyingatleastwiththeminimumcoverasprovidedbyClauses(C)oftheInstituteCargoClauses(LMA/IUA)oranysimilarclauses.Theinsuranceshallbecontractedwithunderwritersoraninsurancecompanyofgoodreputeandentitlethebuyer,oranyotherpersonhavinganinsurableinterestinthegoods,toclaimdirectlyfromtheinsurer.

Whenrequiredbythebuyer,thesellershall,subjecttothebuyerprovidinganynecessaryinformationrequestedbytheseller,provideatthebuyer’sexpenseanyadditionalcover,ifprocurable,suchascoverasprovidedbyClauses(A)or(B)oftheInstituteCargoClauses

(LMA/IUA)oranysimilarclauses,and/orcovercomplyingwiththeInstituteWarClausesand/orInstitute

StrikesClauses(LMA/IUA)oranysimilarclauses.Theinsuranceshallcover,ataminimum,thepriceprovidedinthecontractplus10%(i.e.,110%)andshallbeinthecurrencyof

thecontract.TheinsuranceshallcoverthegoodsfromthepointofdeliverysetoutinAandA5toatleastthenamedplaceofdestination.Thesellermustprovidethebuyerwiththeinsurance

policyorotherevidenceofinsurancecover.Moreover,thesellermustprovidethebuyer,atthebuyer’srequest,risk,andexpense(ifany),withinformationthatthebuyerneedstoprocureanyadditionalinsurance.

A4Delivery

ThesellermustdeliverthegoodsbyhandingthemovertothecarriercontractedinaccordancewithA3ontheagreeddateorwithintheagreedperiod.

B3Contractsofcarriageandinsurance

a)Contractofcarriage

Thebuyerhasnoobligationtothesellertomakeacontractofcarriage.

b)Contractofinsurance

Thebuyerhasnoobligationtothesellertomakeacontractofinsurance.However,thebuyermustprovidetheseller,uponrequest,withanyinformationnecessaryforthesellertoprocureanyadditionalinsurancerequestedbythebuyerasenvisagedinA3b).

B4Takingdelivery

ThebuyermusttakedeliveryofthegoodswhentheyhavebeendeliveredasenvisagedinA4andreceivethemfromthecarrieratthenamedplaceofdestination.

A5Transferofrisks

ThesellerbearsallrisksoflossofordamagetothegoodsuntiltheyhavebeendeliveredinaccordancewithA4,withtheexceptionoflossordamageinthecircumstancesdescribedinB5.

A6Allocationofcosts

Thesellermustpay

a)allcostsrelatingtothegoodsuntiltheyhavebeendeliveredinaccordancewithA4,otherthanthosepayablebythebuyerasenvisagedinB6;

b)thefreightandallothercostsresultingfromA3a),includingthecostsofloadingthegoodsandanychargesforunloadingattheplaceofdestinationthatwerefortheseller’saccountunderthecontractofcarriage;

c)thecostsofinsuranceresultingfromA3b);andd)whereapplicable,thecostsofcustomsformalitiesnecessaryforexport,aswellasallduties,taxesandotherchargespayableuponexport,andthecostsfortheirtransportthroughanycountrythatwerefortheseller’saccountunderthecontractofcarriage.

A7Noticestothebuyer

B5Transferofrisks

ThebuyerbearsallrisksoflossofordamagetothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4.IfthebuyerfailstogivenoticeinaccordancewithB7,itmust

bearallrisksoflossofordamagetothegoodsfromtheagreeddateortheexpirydateoftheagreedperiodfordelivery,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods.

B6Allocationofcosts

Thebuyermust,subjecttotheprovisionsofA3a),pay

a)allcostsrelatingtothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4,except,whereapplicable,thecostsofcustomsformalitiesnecessaryforexport,aswellasallduties,taxesandotherchargespayableuponexportasreferredtoinA6d);

b)allcostsandchargesrelatingtothegoodswhileintransituntiltheirarrivalattheagreedplaceofdestination,unlesssuchcostsandchargeswerefortheseller’saccountunderthecontractofcarriage;

c)unloadingcosts,unlesssuchcostswerefortheseller’saccountunderthecontractofcarriage;d)anyadditionalcostsincurredifitfailstogivenoticeinaccordancewithB7,fromtheagreeddateortheexpirydateoftheagreedperiodfordispatch,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods;

e)whereapplicable,allduties,taxesandotherchargesaswellasthecostsofcarryingoutcustomsformalitiespayableuponimportofthegoodsandthecostsfortheirtransportthroughanycountry,unlessincludedwithinthecostofthecontractofcarriage;and

f)thecostsofanyadditionalinsuranceprocuredatthebuyer’srequestunderA3andB3.B7Noticestotheseller

Thisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.

“DeliveredatTerminal”meansthatthesellerdeliverswhenthegoods,onceunloadedfromthearrivingmeansoftransport,areplacedatthedisposalofthebuyeratanamedterminalatthenamedportorplaceofdestination.“Terminal”includesanyplace,whethercoveredornot,suchasaquay,warehouse,containeryardorroad,railoraircargoterminal.

Thesellerbearsallrisksinvolvedinbringingthegoodstoandunloadingthemattheterminalatthenamedportorplaceofdestination.Thepartiesarewelladvisedtospecifyasclearlyaspossibletheterminaland,ifpossible,aspecificpointwithintheterminalattheagreedportor

placeofdestination,astheriskstothatpointarefortheaccountoftheseller.Thesellerisadvisedtoprocureacontractofcarriagethatmatchesthischoiceprecisely.

Moreover,ifthepartiesintendthesellertobeartherisksandcostsinvolvedintransportingandhandlingthegoodsfromtheterminaltoanotherplace,thentheDAPorDDPrulesshouldbeused.DATrequiresthesellertoclearthegoodsforexport,whereapplicable.

However,thesellerhasnoobligationtoclearthegoodsforimport,payanyimportdutyorcarryoutanyimportcustomsformalities.

ATHESELLER’OBLIGATIONS

A1Generalobligationsoftheseller

Thesellermustprovidethegoodsandthecommercialinvoiceinconformitywiththecontractofsaleandanyotherevidenceofconformitythatmayberequiredbythecontract.

Thesellermustprovidethebuyer,attheseller’sexpense,withadocumentenablingthebuyertotakedeliveryofthegoodsasenvisagedinA4/B4.

B5Transferofrisks

ThebuyerbearsallrisksoflossofordamagetothegoodsfromthetimetheyhavebeendeliveredasenvisagedinA4.

a)thebuyerfailstofulfilitsobligationsinaccordancewithB2,thenitbearsallresultingrisksoflossofordamagetothegoods;

b)thebuyerfailstogivenoticeinaccordancewithB7,thenitbearsallrisksoflossofordamagetothegoodsfromtheagreeddateortheexpirydateoftheagreedperiodfordelivery,providedthatthegoodshavebeenclearlyidentifiedasthecontractgoods.

B6Allocationofcosts
